1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the services, website, applications, and fleet management ecosystem operated by Urban Drive ("Urban Drive", "Company", "we", "us", or "our").
By accessing our website, applying to attach a vehicle, enrolling as a driver partner, investing in our fleet programs, or engaging in corporate mobility services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.
2. Description of Services & Platform Role
Urban Drive is a technology-enabled commercial mobility and fleet management enterprise. Our services include:
- Vehicle Attachment: Onboarding privately and commercially owned vehicles into professionally managed commercial fleets deployed across top ride-hailing networks.
- Driver Partner Onboarding: Screening, verifying, and assigning qualified drivers to managed fleet vehicles under structured earning and incentive agreements.
- Fleet Investment Programs: Facilitating asset-backed fleet ownership and managed leasing opportunities with fixed monthly income disbursements.
- Corporate Mobility: Tailored employee transportation and fleet leasing solutions for corporate enterprises.
3. Vehicle Attachment & Owner Obligations
Vehicle owners attaching assets to Urban Drive agree to:
- Provide genuine, valid Registration Certificates (RC), commercial insurance, state road permits, and pollution fitness certificates.
- Authorize Urban Drive to install IoT telematics, GPS tracking hardware, and speed-limiting devices as required by transport regulations.
- Maintain ownership title free from undisclosed legal encumbrances or unauthorized hypothecations.
- Adhere to the agreed revenue-sharing or monthly lease payout schedules as stipulated in the master vehicle attachment agreement.
4. Driver Partner Obligations & Code of Conduct
Driver partners onboarded with Urban Drive must strictly adhere to the following standards:
- Possess a valid Commercial Driving License (with transport badge where mandated) and clear criminal background check.
- Maintain zero tolerance for alcohol or substance influence during duty hours.
- Exercise safe driving practices, follow all traffic rules, and treat passengers and vehicle assets with utmost care and professionalism.
- Report any accident, traffic violation, mechanical breakdown, or damage immediately to the 24/7 Urban Drive fleet operations desk.
5. Fleet Investment Terms & Monthly Payouts
Investors participating in Urban Drive Fleet Investment Plans acknowledge:
- Monthly income payouts are processed on the designated payout date (e.g. 10th of every calendar month) directly into the verified investor bank account.
- Asset values, vehicle warranties, and comprehensive fleet insurance coverage are managed by Urban Drive in accordance with the specific investment schedule.
- Early exit or premature withdrawal is subject to the lock-in and buyback conditions specified in the individual investment agreement.
6. Intellectual Property Rights
All content, branding, trademarks, logos, UI designs, software, texts, images, and proprietary algorithms on the Urban Drive website and platform are the exclusive intellectual property of Urban Drive and are protected by Indian and international copyright and trademark laws.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Urban Drive shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from platform downtime, unauthorized third-party access, or third-party ride-hailing network disruptions beyond our reasonable control.
8. Termination & Suspension
We reserve the right to suspend or terminate service access, vehicle attachment contracts, or driver partner profiles immediately in the event of material breach of these Terms, document fraud, gross safety violations, or non-compliance with statutory transport guidelines.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
