Investor Partnership Terms & Conditions

1. Overview and Program Scope

This Investor Partnership Agreement ("Agreement") defines the terms, obligations, and rights governing participation in the Urban Drive Commercial Fleet Partnership Program ("Program") operated by Urban Drive Mobility ("Company", "we", "us").

By submitting an Investor Application or executing a Capital Allocation Form, the investor ("Partner", "Investor") agrees to be legally bound by these terms.

2. Capital Allocation and Program Duration

• Fixed Term: Unless stated otherwise in a customized schedule, the standard investment program duration is 48 months from the date of vehicle acquisition and deployment.
• Designated Vehicle Asset: Capital deployed is allocated towards the procurement, statutory registration, licensing, and commercial readiness of verified fleet vehicles.
• Ownership & Custody: Urban Drive Mobility retains operational, regulatory, and mechanical custody of the vehicles to ensure seamless deployment across certified ride-hailing networks.

3. Monthly Return on Investment (ROI) & Payouts

• Predictable Monthly Payouts: Investors receive a fixed monthly return as agreed upon in the selected Investment Plan (e.g., ₹25,000 to ₹1,50,000+ per month based on fleet tier).
• Disbursement Date: Payouts are credited directly to the Investor's registered bank account on or before the 10th of every calendar month via NEFT, RTGS, or IMPS.
• Taxation & TDS: All disbursements are subject to applicable statutory deductions, including Tax Deducted at Source (TDS), as mandated by the Income Tax Act of India. Official TDS certificates (Form 16A) will be issued quarterly.

4. Complete Operational & Maintenance Coverage

To ensure risk insulation for our investment partners, Urban Drive Mobility assumes 100% operational management, which covers:

• Routine periodic servicing, engine diagnostics, oil changes, and fluid top-ups.
• Tyre replacements, mechanical wear-and-tear repairs, and brake overhauls.
• Annual commercial vehicle fitness certificates, state road taxes, and permits.
• 24/7 telematics tracking, real-time GPS boundary alerts, and fleet recovery.

5. Asset Insurance & Comprehensive Risk Management

Every commercial vehicle in the fleet is protected under comprehensive commercial insurance coverage:

• Accidental Coverage: In the event of a collision or road mishap, Urban Drive handles insurance claim processing, zero-depreciation claims, and workshop turnaround.
• Driver Liability: All drivers operating fleet vehicles are pre-vetted with background verification, police clearances, and signed lease contracts.

6. Exit Options, Buyback & Program Completion

• Lock-in Period: The standard minimum lock-in period is 12 months. Early exit requests prior to lock-in expiration may incur an administrative processing penalty.
• Terminal Value / Buyback: Upon completion of the full 48-month tenure, the Investor may opt for an asset buyback payout or transfer of vehicle possession according to the prevailing market valuation guidelines specified in the master contract.

7. Investor Self-Service Portal Access

Active investors are granted credentials to the Urban Drive Investor Portal, providing real-time transparency over:

• Historical and upcoming monthly payout schedules.
• Downloadable monthly tax invoices, payment advice slips, and contracts.
• Fleet vehicle performance status and assigned commercial identifiers.

8. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of India. Any legal dispute or claim arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
